These terms govern your use of SEOAST: the website at seoast.ai, the audit API, the MCP server, the monitoring snippet and any paid plan (together, the "Service"). The Service is provided by AI Venture Holdings LLC ("AIVH", "we", "us"). By using the Service, you agree to these terms and to our Privacy Policy. If you use the Service for an organization, you agree on its behalf and confirm you have authority to do so.
1. Who can use SEOAST
You must be at least 18 years old and able to enter a binding contract. The Service is for business and professional use.
2. What SEOAST does
SEOAST fetches public web pages you point it to and reports measured findings, scores and suggested fixes. Depending on your plan, it can also scan a whole site, check local-business signals, monitor sites over time and send alerts.
SEOAST reads the HTML a server returns; it does not run a page's JavaScript or log in to private areas. It refuses requests to private, internal and cloud-metadata addresses.
3. Free use and API keys
You can run a limited number of audits each day without an API key. A free API key raises that limit. Current limits are published in our documentation, and we may change them.
An API key is issued to you or your organization. Keep it secret: you are responsible for everything done with it. Do not share, sell or publish it. We may suspend or revoke a key that is shared, abused, used to get around limits, or unused for 12 months.
4. Paid plans
Plans and prices. Paid plans and their prices are listed at seoast.ai/pricing. Prices exclude taxes unless stated; you pay any applicable taxes.
Automatic renewal. Paid plans are subscriptions that renew automatically at the end of each monthly or yearly term, at the then-current price, and are charged to your payment method on file until you cancel.
Cancelling. You can cancel at any time from the Stripe billing portal or by emailing us. Cancellation takes effect at the end of the current term; you keep access until then.
Refunds. Fees already paid are non-refundable, including for partial terms, except where the law requires otherwise or we decide to issue a refund. If we end the Service or your plan without cause, we refund the unused part of any prepaid term.
Price changes. We will give you at least 30 days' notice by email of a price increase. It applies from your next renewal; you can cancel before then.
Failed payments. If a payment fails, we may suspend paid features until it succeeds.
Payments are processed by Stripe under Stripe's terms.
5. Acceptable use
You agree not to: - use the Service on systems or pages in a way that breaks the law, or audit private or access-controlled systems you are not authorized to test; - overload, attack, probe or disrupt the Service or any site through it, or use it to send excessive traffic to a third-party site; - get around usage limits, for example by rotating network addresses, accounts or keys; - copy, scrape, resell or redistribute the Service, its check definitions, scoring method or reports in bulk, or use them to build or train a competing product; - reverse engineer, decompile or try to extract the source code, scoring weights or methods of the Service, except where the law expressly allows it; - remove SEOAST branding or notices from reports you share, or present SEOAST reports as your own work product; - use the Service to infringe anyone's rights or to send spam.
We may suspend or end access that breaks these rules.
6. Reports and recommendations
Reports describe what the Service measured on the pages as they were fetched at that moment, and suggest changes. They are information, not professional, legal or financial advice. We do not promise any search ranking, traffic, citation by an AI system, lead or revenue result. Search engines and AI systems decide those outcomes on their own. Scores can change between engine versions.
Reports may include an implementation prompt for an AI coding tool. You decide whether and how to use it, and you are responsible for changes made to your website, including reviewing and testing them before they go live.
Shared reports. Anyone with a report's share link can open it. Share links only with people you want to see the report.
7. Monitoring snippet and automatic fixes
If you install the SEOAST snippet or enable automatic fixes, you confirm you control the website and are authorized to add code to it. Automatic fixes change your pages; you are responsible for reviewing them, and you can turn them off at any time. You are responsible for any notice your own visitors are owed about the snippet. For data the snippet sends us, we act as your service provider, as described in our Privacy Policy.
8. Your content and ours
Yours. You keep all rights in your websites and content. You give us permission to fetch, analyze and store results from the pages you direct the Service to, only to provide the Service to you.
Ours. The Service, its software, check definitions, scoring method, report designs and the SEOAST name and logo belong to AIVH. Subject to these terms, you may use, copy and share the reports you generate for your own business and your clients' business.
Feedback. If you send us suggestions, we may use them without obligation to you.
9. Third-party services
The Service relies on third parties, including hosting, database, payment, email and analytics providers, and it reads third-party websites at your direction. We are not responsible for third-party websites or services, and your use of them is governed by their own terms.
10. Availability and changes
We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may change, add or remove features. If we discontinue a paid plan you are on, we will give you at least 30 days' notice and refund any unused prepaid amount.
11. Ending your use
You can stop using the Service at any time and cancel a paid plan as described in section 4. We may suspend or end your access if you break these terms, if your use creates risk or legal exposure for us or others, or if we discontinue the Service. Sections 5 through 8 and 12 through 15 continue after your access ends.
12. Disclaimer
THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, AIVH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) AIVH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, TRAFFIC, RANKINGS OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) AIVH'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US $100.
Some jurisdictions do not allow certain of these limits, so they may not all apply to you.
14. Indemnity
You will defend and indemnify AIVH against third-party claims, and the resulting losses and costs, arising from your misuse of the Service, your breach of these terms, or changes you make to a website based on the Service.
15. Governing law and disputes
These terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you and we consent to their jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally for 30 days after written notice.
16. Changes to these terms
We may update these terms. We will post the new version on this page with a new effective date. If a change is material, we will tell paid subscribers by email at least 30 days before it takes effect. Continuing to use the Service after a change takes effect means you accept it.
17. General
These terms and the Privacy Policy are the entire agreement between you and AIVH about the Service. If any part is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Notices to you may be sent to the email address you gave us.
